The Company

The Role

The Paralegal role will report directly to the Chief Legal Officer, and will support the Legal team in the preparation and administration of documents related to both corporate and transactional activities of the company.

Principal Duties & Responsibilities

The Paralegal is anticipated to have the following duties and responsibilities:

  • Support on management and organization of corporate documentation and transactional documents, including operating agreements, closing binders, NDAs, and other typical documents for project and corporate financings.
  • Support of project financing activities, including deliverables and conditions precedent to closing milestones, construction financing draws, and schedule population and review.
  • Preparing and filing formation documents for various entity types.
  • Drafting and managing amendments to corporate charters, LLC operating agreements, and other organizational documents.
  • Preparing and organizing documents related to M&A and other transactions.
  • Maintaining corporate records and minute books.
  • Assisting with obtaining EINs and other tax-related filings.
  • Monitoring and managing transactional documents, including checklists of deliverables, closing certificates, and deliverables from outside counsel or other third parties.

  • Project and time management skills, including managing and prioritizing multiple assignments in order to meet deadlines
  • Experience with market-standard document management and project tracking software
  • Intermediate to expert skills in Microsoft Office and Adobe Acrobat

  • Bachelor’s degree; paralegal certificate preferred but not required; equivalent combination of education and experience may be accepted.
